These are some of the most important components of the company structure and will be highly negotiated.  You should understand the different mechanisms, which are in your best interest and which may not be compatible with your goals.  This information should be included in the Term Sheet.

The structure of the transaction and governance rights should be thought out in advance and included at a high level in a Term Sheet.  This is the best way to ensure you end up with deal terms that generate maximum value for your contributions and the rights you need to protect your interests.  The Term Sheet should be included in the CIM.
